Open Letter to Sportech Limited Shareholders

Dear Shareholder,
Application of the City Code on Takeovers and Mergers to Sportech Limited
As you may recall, at a general meeting held in October 2023, Sportech’s cancellation from trading on AIM and its re-registration as a private limited company (the “Cancellation and Re-registration”) was approved by shareholders.
The notice of general meeting (a copy of which remains available on Sportech’s website) set out the consequences of the Cancellation and Re-registration (the “Notice of General Meeting”). The Cancellation and Re-registration became effective in December 2023. One of those consequences was that the City Code on Takeovers and Mergers (the “Code”) would cease to apply to Sportech on the earlier of (a) the expiry of the period of 10 years following the Cancellation and Re-registration; and (b) such time as the majority of the directors of Sportech ceased to be resident in the United Kingdom, the Channel Islands or the Isle of Man.
Sportech’s primary place of business is the United States of America and, to align its governance arrangements with its operations in the USA, the majority of the directors of Sportech have ceased to be resident in the United Kingdom, the Channel Islands or the Isle of Man. As a result of these changes, the Panel on Takeovers and Mergers has confirmed that the Code no longer applies to Sportech.
The consequences of the Code ceasing to apply to Sportech remain as set out in the Notice of General Meeting and shareholders can find further information about those in Part 3 and Appendix A of the Notice of General Meeting.
